LG&E/KU Standards of Conduct

On November 26, 2008, E.ON U.S. and other U.S. energy companies must comply with updated Federal Energy Regulatory Commission ("FERC") orders requiring organizational separation between certain employees of their Transmission Providers and certain Marketing Function Employees.

Collectively, the updated orders are still referred to as the Standards of Conduct and they are fundamentally based on two guiding principles. First, a Transmission Provider's employees engaged in day-to-day transmission system operations (“Transmission Function Employees”) must function independently from employees engaged in day-to-day power and sales activities (“Marketing Function Employees”). Secondly, all Transmission Function Employees must treat all transmission customers, affiliated and non-affiliated, on a non-discriminatory basis and must not operate the transmission system to preferentially benefit its affiliates. The Final Rule requires organizational separation of all Marketing Function Employees, including those in natural gas marketing affiliates, from Transmission Function Employees.

The Standard of Conduct require that a Transmission Provider must post certain information on its corporate website or its OASIS.
